Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, services, and deliverables provided by Cynetix LLC ("Cynetix," "we," "us," or "our"). By accessing our website or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.
Section 1

Acceptance of Terms

By accessing the Cynetix website, submitting a service inquiry, or executing a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and Cynetix LLC. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Section 2

Description of Services

Cynetix provides professional cybersecurity services including, but not limited to:

  • Penetration Testing. Authorized simulated attacks against networks, web applications, APIs, mobile applications, and infrastructure to identify exploitable vulnerabilities;
  • Security Assessments. Comprehensive evaluations of security posture, including vulnerability scanning, configuration reviews, and compliance gap analyses;
  • Adversarial Simulation. Red team operations, social engineering campaigns, and advanced threat emulation designed to test organizational detection and response capabilities;
  • Reporting and Remediation Guidance. Detailed findings reports with risk ratings, evidence documentation, and actionable remediation recommendations.

The specific scope, methodology, and deliverables for each engagement are defined in a separate Statement of Work ("SOW") or Master Service Agreement ("MSA") executed between Cynetix and the Client. In the event of a conflict between these Terms and a signed SOW or MSA, the SOW or MSA shall prevail with respect to the applicable engagement.

Section 3

Use of Website

You agree to use the Cynetix website in a lawful manner and in accordance with these Terms. Acceptable use includes browsing informational content, submitting service inquiries, and accessing authorized Client resources.

Prohibited activities include, but are not limited to:

  • Attempting to gain unauthorized access to any portion of the website, server, or connected systems;
  • Using automated tools, bots, or scrapers to extract content or data from the website without prior written consent;
  • Transmitting malicious code, viruses, or any material designed to disrupt, damage, or interfere with the operation of the website;
  • Impersonating any person or entity, or misrepresenting your affiliation with any person or entity;
  • Using the website for any purpose that is unlawful, fraudulent, or harmful;
  • Reproducing, distributing, or publicly displaying any website content without express written authorization from Cynetix.

Cynetix reserves the right to restrict or terminate access to the website for any user who violates these Terms, without prior notice.

Section 4

Intellectual Property

All content, materials, methodologies, tools, frameworks, software, trademarks, logos, and proprietary processes available on the Cynetix website or delivered as part of our services are the exclusive property of Cynetix LLC and are protected by applicable intellectual property laws.

  • Website Content. All text, graphics, design elements, and multimedia on the Cynetix website are owned by or licensed to Cynetix and may not be copied, modified, or distributed without prior written consent;
  • Testing Methodologies. Proprietary testing frameworks, automation scripts, and assessment methodologies developed by Cynetix remain the sole property of Cynetix, regardless of whether they are used during a Client engagement;
  • Deliverables. Upon full payment, the Client receives a non-exclusive, non-transferable license to use engagement deliverables (reports, findings, recommendations) for internal purposes only. Cynetix retains ownership of all underlying intellectual property.
Section 5

Disclaimer of Warranties

All services and deliverables provided by Cynetix are offered on an "as-is" and "as-available" basis. Cynetix makes no warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement;
  • Any guarantee that our services will identify all vulnerabilities, threats, or security weaknesses present in a Client's environment;
  • Any assurance that the Client's systems will be secure or immune from attack following an engagement;
  • Any warranty regarding the availability, accuracy, or completeness of the website or its content.

Cybersecurity testing is inherently limited by scope, time, and the evolving nature of threats. A penetration test represents a point-in-time assessment and should not be interpreted as a comprehensive or permanent evaluation of security posture.

Section 6

Limitation of Liability

To the maximum extent permitted by applicable law, Cynetix LLC, its officers, directors, employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising out of or in connection with the use of our website or services, regardless of the theory of liability.

In no event shall the total aggregate liability of Cynetix for all claims arising under or related to these Terms or any engagement exceed the total fees paid by the Client to Cynetix for the specific engagement giving rise to the claim during the twelve (12) months preceding the date of the claim.

This limitation applies regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Cynetix has been advised of the possibility of such damages.

Section 7

Indemnification

You agree to indemnify, defend, and hold harmless Cynetix LLC, its officers, directors, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Cynetix website or services in violation of these Terms;
  • Any breach of your representations or warranties under these Terms;
  • Your violation of any applicable law, regulation, or third-party right;
  • Any unauthorized use of Cynetix deliverables, reports, or intellectual property;
  • Any claim by a third party resulting from actions taken by the Client based on Cynetix findings or recommendations.

This indemnification obligation shall survive the termination or expiration of these Terms and any related service agreement.

Section 8

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

The arbitration shall be conducted in English. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding. Judgment on any arbitration award may be entered in any court of competent jurisdiction. Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or Confidential Information.

Section 9

Modifications to Terms

Cynetix reserves the right to modify, amend, or update these Terms at any time at its sole discretion. Changes will become effective upon posting the revised Terms on the Cynetix website with an updated version date. Your continued use of the website or services following the posting of changes constitutes your acceptance of such modifications.

For material changes that significantly affect the rights or obligations of existing Clients, Cynetix will make reasonable efforts to provide notice via email to the address associated with the Client's account or engagement. It is your responsibility to review these Terms periodically. The "Version" and date indicated at the top of this document reflect the most recent revision.

Legal Notice: This document does not constitute legal advice. Cynetix LLC recommends that all parties consult independent legal counsel before relying on or acting upon these Terms. These Terms are subject to the specific provisions of any executed Master Service Agreement, Statement of Work, or other binding engagement documentation.
